Corporate Secretarial & Compliance Management Services
We advise on corporate secretarial and compliance management services for listed and unlisted companies which broadly includes among other things:
- Advising the Company on periodic and event based compliances and disclosures prescribed under SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 including assisting in determining disclosures under the purview of Regulation 30;
- Drafting and review of various policies and codes adopted/to be adopted by the Company under SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 and the Companies Act, 2013;
- Advising on disclosures required under of Regulation 29, 30 & 31 of the SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011 including system driven disclosures;
- Advising on disclosures required under of Regulation 6 & 7 of the SEBI (Prohibition of Insider Trading) Regulations, 2015, system driven disclosures, etc.;
- Drafting and review of Code for Prevention of Insider Trading and Code of Fair Disclosure adopted by the Company under Regulation 8 & 9 of the SEBI (Prohibition of Insider Trading) Regulations, 2015 including the mechanism to administer the Code of Conduct like pre clearance of trades and reporting thereof, handling Unpublished Price Sensitive Information, structured digital database, system driven disclosures, etc.;
- Drafting and review of Employee Stock Option Scheme and the process of allotting securities to the employees pursuant thereto and listing thereof;
- Advising the Company on periodic and event based compliances prescribed under the Companies Act, 2013 and Rules thereunder including Secretarial Process Outsourcing;
